Comments Authorization and Agreement By agreeing to submit this form you are certifying that you accept appointment as an authorized reseller of the FyTek Software Products supplied to Reseller in a commercial package (“the Software Product”). Future Software Products are deemed added to this Agreement at such time as they are made available by FyTek. FyTek has the right to discontinue the distribution or availability of any Software Product without prior notice to Reseller. The term of this Agreement shall commence as of the date of this Agreement and continue until terminated by either party. By Agreeing to this form you agree to: 1) Restrictions on Copying and Decompiling - RESELLER AGREES NOT TO COPY, TRANSLATE, DISASSEMBLE, OR DECOMPILE THE SOFTWARE IN WHOLE OR IN PART. 2) Marketing - Reseller will include in all such advertising all applicable copyright notices as they appear on or in the Software Products. FyTek will provide a reasonable amount of advertising material (when available), as requested by Reseller, for use in Reseller’s efforts to market the Software Products. 3) Piracy Reports - Reseller agrees to promptly report to FyTek any suspected illegal use or copying of Software Products. 4) Records and Reports - Reseller agrees to maintain a complete, clear and accurate record for two (2) years of the number of packages of each Software Product distributed by product line, to whom they were distributed and the payments received thereof irrespective of the source. Upon request, Reseller shall provide such records to FyTek. Reseller shall permit FyTek or persons designated by FyTek to inspect records pertaining to the Software Products and any other materials provided to Reseller by FyTek to ensure compliance by Reseller with its obligations to FyTek. Any such inspection and audit shall be conducted during regular business hours and in such a manner as not to interfere with normal business activities of Reseller.
